Articles of Incorporation

We, the undersigned natural persons of the age eighteen (18) years or more, at least two (2) of whom are citizens of the State of Texas, acting as incorporators of a Corporation under the Texas Non-Profit Corporation Act, do hereby adopt the following Articles of Incorporation for such Corporation:




The name of the Corporation is “River Road Neighborhood Association”.




The Corporation is a non-profit Corporation. Upon the dissolution of River Road Neighborhood Association, any and all of the assets of said Corporation would be distributed for one or more of the exempt purposes or to -the Federal government or to a State or Local government. Such dis­tribution of the assets, and to whom they are to be distributed, shall be at the discretion of the Directors of the Corporation but subject to the approval of the Internal Revenue Service.




The period of its duration is perpetual.




The River Road Neighborhood Association is organized exclusively for educational, recreational and cultural purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

The River Road Neighborhood Association shall encourage the preservation of the distinctive heritage of the neighborhood and the surrounding parkland that is Brackenridge Park, a munici­pal park. It will educate the public with knowledge of the values to be derived from the protec­tion of park lands and wholesome urban environments in neighborhoods throughout the City and will actively support efforts to protect and enhance such neighborhoods and parkland environ­ments.

  1. to encourage the preservation of the distinctive heritage of the River Road neighborhood area;

  2. to protect, maintain and enhance the ecological, historical, social and cultural elements which form the River Road neighborhood area and which endowed the area with its present character;

  3. to educate the public with knowledge of the inherited neighborhood values which contribute to a wholesome urbail environment;

  4. to promote the social welfare of the citizens of the River Road neighborhood area and for all citizens of the City of San Antonio, Texas;

  5. to have and exercise all the rights and powers conferred on non-profit Corporations under

  6. the Texas Non-Profit Corporation Act, as such law is now in effect or may at any time hereafter be amended;

  7. to do all other acts necessary or expedient for the administration of the affairs and attainment of the purposes of this Corporation;

  8. Notwithstanding any of the above statements of purposes and powers, this Corporation shall not, except to an insubstantial degree, engage in any activities or exercise any powers that are not in furtherance of the primary purposes of this Corporation.



No part ofthe net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payment and distributions in furtherance of the purposes set forth in Article Four hereof. No sub­stantial part of the activities of the corporation shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these articles, the corporation shall not, except to an insubstantial degree, carry on any other activities not permitted to be car­ried on by a corporation exempt from federal income tax under section 501 (c) (3) ofthe Internal Revenue Code, or corresponding section of any future federal tax code.


The street address of the Initial Registered Office of the Corporation is 811 River Road, San An­tonio, Texas 78212, and the name of its Initial Registered Agent at such address is Phillip D. Hardberger.




The number of Directors constituting the initial Board of Directors of the Corporation is nine (9), and the names and addresses of the persons who are to serve as the initial Directors are:
